Terms and Conditions for Clients

Empty Lemon shall be entitled at anytime without notifying the Client to make changes to the Services, which are necessary to comply with any applicable security or other statutory requirements and shall determine the manner in which the Services are provided.

General Terms

1. 'Empty Lemon' means EmptyLemon Ltd is a company registered in England and Wales with Company Number 06898342/
2. 'Client(s)' means any individual company or organisation who procure services from Empty Lemon/
3. 'Service(s)' relates to all advertising, marketing and promotion of all other services on offer from Empty Lemon from time to time.
4. 'Agreement Form' means all orders for the Services of Empty Lemon agreed by and signed by the client by contract.
5. 'Contract Term' means any service procured relates to all credits procured from the date of purchase to the date of expiry/
6. 'Job Credit(s)' means a single credit procured for a Job Advertisement/
7. 'Candidate' means any prospective Job Applicant/
8. 'The Site' means www.emptylemon.co.uk/
9. 'Agreement Term' means the duration of agreement.
10. 'Period(s)' means a duration of time as agreed.
11. 'Activation' means the time the advert is advertised on the site.

1. Use of the site

1.1 All services provided by Empty Lemon and on offer on the site are solely for the purposes of direct employers seeking to recruit / hire staff. You agree not to reproduce any information from the site for any reason other than recruitment of staff. Reproducing or sharing of any material from the site is deemed as unauthorised.

1.2 All intellectual property rights of Empty Lemon and the information contained within belongs strictly to Empty Lemon.

2. Commencement of Services

2.1 Empty Lemon will not commence the provision of Services relating to any Agreement Form until the Agreement Form has been returned to us, in a form approved by us and confirmed by the client by way of signature, e-mail confirmation or provision of purchase order number.

2.2 All Services procured must be used within the Agreement Term and no Services may be carried over into subsequent Periods without the prior consent of Empty Lemon. The Client is still responsible for costs of any unused services.

2.3 The Client accepts if any Services which are to be used with any period of time specified in the Online Purchase Agreement are not used within that period of time that Empty Lemon Limited shall not be liable for any failure to provide the Services and the Client will still be responsible for the full payment of the Fees.

3. Costs

3.1 All prices are confidential and may not be disclosed by the Client.

3.2 All prices advertised and quoted exclude VAT.

4. Payments

4.1 All invoices are payable as per Agreement Form.

4.2 Any late payment(s) will entitle Empty Lemon to suspend all Services until payment(s) have been received. Empty Lemon reserves the right to charge interest on any overdue amounts at the rate of 8% per annum above the base rate from time to time of [the Bank of England] from the due date until the date of payment. Empty Lemon reserves the right to charge £25.00 as administration charge.

4.3 If the Client fails to make any payment by the due time then all moneys owing by the Client to Empty Lemon shall immediately become due and payable.

4.4 When electing to pay via means of a payment card the Client acknowledges that:

• 4.4.1 Empty Lemon will ask the Client to enter its credit or debit card details onto a secure payment site as soon as it has confirmed that the company and order details, including any related Advertisement content, are correct.
• 4.4.2 Completion of the credit or debit card transaction will be acknowledged by Empty Lemon as an offer from the Client to purchase services which, if accepted by Empty Lemon will result in a binding Contract.
• 4.4.3 If a Client’s order is rejected for any reason before the Services are provided, then a refund will be made by Empty lemon if card payment has already been taken.

4.5 When electing to pay via invoice the Client acknowledges that:

• 4.5.1 Acceptance of order is subject to a satisfactory credit check and payment for Services will be made according to the payment terms specified in the Online Purchase Agreement.
• 4.5.2 If the Client fails to make any payment by the due time then all monies owing by the Client to Empty Lemon shall immediately become due and payable.
• 4.5.3 Empty Lemon will provide an invoice to each Client in accordance to the terms in the Online Purchase Agreement. Liability for payment arises from provision of the Services. Further, all items on the invoice are deemed to be payable and any errors or omissions must be communicated to Empty Lemon in time to be rectified before payment becomes due. Payment for the provision of the Services shall be made as aforesaid whether or not the Client shall have provided Empty lemon with an order number at the time of the Online Purchase Agreement.
• 4.5.4 The Client agrees to pay to Empty Lemon in respect of each item of Services for which payment is not made by the due time:

4.6 Empty lemon reserves the absolute right, without giving any reasons, to decline or cancel an order or to remove any Advertisement or provision of Services for any reason and at any time without prior notice.

• 4.6.1 Refunds are given at the discretion of Empty Lemon management.
• 4.6.2 All sums due in respect of the Fees are exclusive of any value added tax or other applicable sales tax, for which the Client shall be additionally liable.

5. Links

5.1 Empty Lemon does not make any representation as to the security, quality or propriety of any website which may be accessed through The Site. Linked websites accessed through The Site are independent websites over which Empty Lemon does not exercise any control, whether financial, editorial or any other kind and are not in any way endorsed by Empty Lemon.

5.2 Accordingly Empty Lemon has no responsibility or liability to the Client in respect of any products or services neither purchased or obtained by you from any such linked website nor in respect of the use of any personally identifying information by any such linked website or its owner. If you decide to access any of the third party websites linked to The Site, you do so entirely at your own risk.

6. Editing Jobs

6.1 Content of the advert excluding Job Title and location can be edited throughout the duration of the advertisement. Job Title and location can only be edited within 48 hours of the Job Credit Activation without the consent of Empty Lemon.

7. Illegal Content of Adverts

7.1 Any advertisements which Empty Lemon deem to discriminate on grounds of sex, race or disability are illegal and may result in proceedings being taken against both the advertiser and the publisher. Any advertisements are accepted by Empty Lemon on the basis that the advertiser confirms that any requirement or qualification which may appear to discriminate illegally is in compliance with any exemption available under the relevant legislation.

7.2 If Empty Lemon believe an advertisement is discriminative, we hold the right to amend or remove the advertisement from the site without any liability of costs paid of Job Credits.

7.3 Any proofing by Empty Lemon prior to advertisements going live will not include, formatting, spelling and general grammatical errors.

7.4 The Client assumes full liability for any discriminative / illegal content of job advertisements.

8. Candidate Applications

8.1 The Client is the advertiser and guarantees to professionally deal with all applications in a fair and professional manner. The Client will indemnify Empty Lemon from and against any claim or action brought against Empty Lemon as a result of the client’s breach of obligations against this or any other of these terms and conditions.

8.2 Empty Lemon will not and cannot guarantee any response from the advertisements or that the responses will be from suitable candidates.

8.3 The Client shall indemnify Empty Lemon against all claims made by the third parties in respect of the misuse of the data supplied to the Client.

9. Equipment / Technical Liability

9.1 If the Clients use of Empty Lemon results in the need for servicing, repair or correction of equipment, software or data the Client assume all costs thereof. In addition, it is the Clients responsibility to ensure they have the technical capability to post jobs onto Empty Lemon.

9.2 Empty Lemon makes no warranty that the site (or any website that is, or may become linked to this website) is free from computer viruses, "cookies", or any other malicious or impairing computer programmes and/or that the Site shall operate uninterrupted and error-free.

10. Third party sites

10.1 All advertisements posted onto Empty Lemon may/will also appear on third party sites as part of marketing and promotion. No further cost will be added to the Clients by Empty Lemon for this service.

11. User Admin Security

11.1 The client is responsible for any content published on The Site or any activity on The Site that is associated with the account assigned to them by EmptyLemon. Empty Lemon reserves the right to block access if Empty Lemon has sufficient reason to believe the username and/or password is being used by an unauthorised person. This will be in breach of these terms and conditions.

12. Data protection

12.1 Empty Lemons use of personal information as supplied by users of the site (including CV’s other personal contact details) is wholly governed by our privacy policy. Details of the policy can be viewed by clicking here.

13. General Indemnity

The Client agrees to indemnify Empty Lemon and to keep Empty Lemon indemnified in respect of, but not limited to, all damages, costs or liabilities that Empty Lemon may incur arising from an Advertisement or use of any Service, and in particular resulting from the following:

13.1 the publication of any defamatory statement;

13.2 breach of copyright;

13.3 any claims made by any person in respect of race, religion, age, sex or disability discrimination;

13.4 any breach by the Client of any warranty given hereunder.

14. Disclaimer

14.1 Empty Lemon disclaims all warranties, express or implied by law of statute, in relation to, but not limited to, the Site.

14.2 If any provision of these Terms is held to be void or unenforceable in whole or in part, these Terms shall continue to be valid as to the other provisions and the remainder of the affected provision. No waiver by Empty Lemon shall be effective except in relation to the matter in respect it was specifically given.

15. Termination

The Customer may terminate in writing the provision of Services under any Order Form if:

15.1 Empty Lemon is in material breach of these terms and conditions having been notified by the Client of the breach and having not remedied this breech within fourteen days of notice. or:

15.2 Empty Lemon become insolvent, cease to trade or go into liquidation.

We may terminate the provision of Services if:

15.3 The Client is in material breach of these terms and conditions having been notified by Empty Lemon of the breach and having not remedied this breech within fourteen days of notice. or:

15.4 The Client becomes insolvent, ceases to trade or goes into liquidation.
